A bright, modern office workspace

Forming a company is quick to do and easy to get wrong. The incorporation itself takes no time at all, but the decisions you make at the start, such as shareholdings, directors, the registered office and how you pay yourself, shape your tax, your filings and your control of the business for years. We help you make those choices on purpose rather than by accident.

What forming a company properly involves

A limited company is a separate legal entity with its own responsibilities. Once it exists, it has to keep statutory registers, file confirmation statements and accounts at Companies House, register for and pay corporation tax, and often run payroll and VAT as well. Getting the setup right means these duties are understood and manageable from the outset, rather than discovered under deadline pressure.

We handle the incorporation and, just as importantly, explain what you are taking on and set you up so you can meet it comfortably.

What we handle at formation

Incorporation

Registering the company at Companies House with the right name, directors and details.

Share structure

Setting up shareholdings that reflect ownership fairly and work for both tax and any future investment.

Statutory registers

Establishing the registers of members, directors and people with significant control that every company must keep.

Tax registrations

Registering for corporation tax and, where you need them, VAT and PAYE, so you start out compliant.

Director duties

Explaining what being a director means in practice, including your legal responsibilities.

Registered office guidance

Advising on the registered office requirement and what the address you choose means for you.

Early decisions worth getting right

A few choices made at the start have long tails. Your share structure sets how profits are split and how easily you can bring in a co-owner or investor later. The mix of salary and dividends affects your tax. And whether a company is even the right vehicle, rather than a sole trade or partnership, comes down to your profits, your plans and how much admin you are willing to take on. We talk these through before you commit, so the structure fits where you are heading. If you are still weighing up incorporation against trading as an individual, our start-up accounting support looks at the wider picture.

On the registered office: every company must have a registered office address in the UK, and it appears on the public record. It has to be an address where the company can receive official post, and recent rules require it to be an "appropriate address". We advise you on the requirement and the options, but we do not provide a registered office address ourselves. We will help you choose one that is suitable and that you are comfortable making public.
